PLEASE READ THESE TERMS OF SERVICE CAREFULLY. By accessing, downloading, installing, or using the ROID mobile application and related services (collectively, the "Platform" or "Service"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms" or "Agreement") and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and ROID INC, a California corporation ("Company," "ROID," "we," "us," or "our"). If you do not agree to these Terms, you must not access or use the Platform.

1. Acceptance of Terms

By using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Community Guidelines, and any additional terms that may apply to specific features or services. These documents are incorporated herein by reference and collectively form the complete agreement between you and ROID INC.

You represent and warrant that you are at least 13 years of age and have the legal capacity to enter into this Agreement. If you are under 18, you represent that your parent or guardian has reviewed and agreed to these Terms.

2. Description of Service

ROID is a comprehensive fitness social media platform that provides:

  • AI-powered health coaching and personalized recommendations
  • Advanced Health Score tracking and fitness analytics
  • Social networking features for fitness enthusiasts
  • Training program creation and marketplace
  • Direct messaging and community features
  • Health data integration with HealthKit
  • Content sharing (posts, stories, reels)
  • Gym integration and digital barcode services
  • Coach certification and business tools
  • Payment processing and subscription management

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time without prior notice.

3. User Accounts and Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your account information
  • Keep your login credentials secure and confidential
  • Notify us immediately of any unauthorized account access
  • Accept responsibility for all activities under your account
  • Use only one account per person
  • Not share your account with others

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

4. User Content and Conduct

You are solely responsible for all content you post, upload, or share ("User Content"). You agree that User Content will not:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Contain harmful, threatening, or abusive material
  • Include spam, malware, or malicious code
  • Promote illegal activities or substances
  • Contain false or misleading health information
  • Violate privacy rights of others
  • Include explicit sexual content or nudity
  • Constitute hate speech or discrimination
  • Impersonate others or misrepresent your identity

You grant ROID INC a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, display, and perform your User Content in connection with the Platform.

5. Health and Fitness Disclaimers

Important Health Disclaimers:

THE PLATFORM IS NOT A MEDICAL DEVICE AND DOES NOT PROVIDE MEDICAL ADVICE. ALL HEALTH AND FITNESS INFORMATION IS FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY. YOU SHOULD CONSULT WITH A HEALTHCARE PROFESSIONAL BEFORE STARTING ANY EXERCISE PROGRAM OR MAKING HEALTH-RELATED DECISIONS.

You understand and acknowledge that:

  • Physical exercise involves inherent risks of injury or death
  • You participate in fitness activities at your own risk
  • Our AI coaching is not a substitute for professional medical advice
  • Health Score calculations are estimates, not medical diagnoses
  • You should stop exercising if you experience pain or discomfort
  • We are not responsible for any health consequences

BY USING THE PLATFORM, YOU VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH PHYSICAL ACTIVITY AND WAIVE ANY CLAIMS AGAINST ROID INC.

6. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using the Platform, you consent to our data practices as described in the Privacy Policy.

You acknowledge that we may collect and process: personal information and account data; health and fitness data from HealthKit; usage patterns and analytics; location information (with permission); content and social interactions; and payment and transaction information.

7. Intellectual Property Rights

The Platform and all content, features, and functionality are owned by ROID INC and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for personal, non-commercial purposes. You may not copy, modify, distribute, reverse engineer, use our trademarks, create derivative works, use automated systems to access the Platform, or circumvent security measures.

8. Payment Terms and Subscriptions

Certain features require payment. By making a purchase, you agree to provide accurate payment information, pay all fees and taxes, authorize recurring charges, and accept responsibility for charges.

Subscription Terms:

  • Subscriptions automatically renew unless cancelled
  • You can cancel anytime through your account settings
  • No refunds for partial subscription periods
  • Prices may change with 30 days' notice
  • Free trials convert to paid subscriptions if not cancelled

9. Coach Program and Marketplace

The Coach Program allows qualified users to create and sell training programs. Participation is subject to separate Coach Terms of Service and the following: ROID INC acts as a facilitator; coaches are independent contractors; platform fees apply; we may suspend or terminate coach accounts; coaches must maintain insurance and certifications; and all coach content must comply with our guidelines.

10. Third-Party Integrations

The Platform integrates with third-party services including Apple HealthKit, Apple Music, payment processors, social platforms, and analytics services. These are subject to third parties' terms and privacy policies.

11. Prohibited Uses

You agree not to use the Platform for prohibited activities including violations of law, impersonation, harassment, distributing malware, attempting to hack, scraping, interfering with others, promoting competitors, providing false health info, or circumventing age checks. Violations may result in termination.

12. Content Moderation and Enforcement

We may monitor, review, and remove content; suspend accounts; restrict features; report illegal activities; and preserve content for legal proceedings at our sole discretion.

13. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, ROID INC DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, UNINTERRUPTED OPERATION, SECURITY, AND RESULTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROID INC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) $50 OR (B) THE AMOUNT YOU PAID TO ROID INC IN THE 12 MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to defend, indemnify, and hold harmless ROID INC and its affiliates from any claims arising from your use of the Platform, your User Content, your breach of these Terms, third-party rights violations, injuries or damages, or false information. This survives termination.

16. Dispute Resolution and Arbitration

Any dispute shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration in California; FAA governs; jury trial waived; no class actions; arbitrator's decision is final. Opt out by emailing legal@roid.app within 30 days of accepting these Terms.

17. Termination

Either party may terminate at any time. We may suspend or terminate immediately for violations, illegal activities, inactivity, or technical/security reasons. Upon termination, your right to use the Platform ceases. Certain provisions survive.

18. Modifications to Terms

We may modify these Terms by posting revised Terms and providing notice. Continued use after the effective date constitutes acceptance.

19. Governing Law

These Terms are governed by California law. Exclusive jurisdiction lies in courts located in California. The CISG does not apply.

20. Severability and Waiver

If any provision is invalid, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver.

21. Entire Agreement

These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement and supersede prior understandings.

BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE, INCLUDING THE ARBITRATION PROVISION AND CLASS ACTION WAIVER.
