Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. By accessing, downloading, installing, or using the ROID iOS application, the roid.app website (including ROID AI on the web), and related services (collectively, the "Platform" or "Service"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms") and all applicable laws. These Terms are a legally binding agreement between you and ROID INC, a California corporation ("ROID," "Company," "we," "us," or "our"). If you do not agree, do not use the Platform.

1. Acceptance and Eligibility

By using the Platform you confirm that you have read and agree to these Terms, our Privacy Policy, our Payment & Subscription Terms, and our Community Guidelines, all of which are incorporated by reference.

You must be at least 13 years old to use the Platform. If you are under 18, you may use the Platform only with the involvement and consent of a parent or guardian who agrees to these Terms on your behalf.

2. The Service

ROID is an AI-powered fitness social platform. Depending on your device and settings, it includes:

  • An AI health coach, AI training program builder, and AI meal planning, powered by third-party large language models
  • A Health Score and fitness analytics computed from data you share (including Apple Health data, with your permission)
  • Nutrition tracking, including AI analysis of meal photos
  • Social features: a feed, posts, reels, comments, likes, sharing, search, and direct messaging
  • Training programs, including programs created and sold by independent creators and coaches
  • AI usage credits, referral rewards, and the ROID MAX subscription (see Payment Terms)
  • Public share pages on roid.app for content you choose to share

We may add, modify, or discontinue features at any time. Some features may be experimental or offered in limited regions or app versions.

3. Accounts

  • Provide accurate, current, and complete information and keep it updated
  • Keep your credentials confidential; you are responsible for activity under your account
  • One account per person; do not share, sell, or transfer your account
  • Notify us promptly of any unauthorized use of your account

We may suspend or terminate accounts that violate these Terms, our Community Guidelines, or the law, or where necessary to protect the Platform or other users. You can delete your account at any time — see our Delete Account page.

4. AI Services

  • AI features generate content automatically using third-party AI models. Output may be inaccurate, incomplete, or unsuitable for your circumstances — use judgment and verify important information
  • AI coaching, AI-generated programs, and AI meal plans are informational only and are not medical, nutritional, or professional advice
  • AI usage may be limited by credits or subscription status; limits and pricing are described in the Payment Terms
  • You may not use AI features to generate unlawful, harmful, or infringing content, to extract or reverse-engineer the underlying models, or to build competing services
  • We may store and review AI conversations as described in our Privacy Policy to provide the service, enforce fair use, and improve safety
  • If you choose to share an AI answer, it may be published at a public roid.app link

5. Health and Fitness Disclaimers

Important health disclaimers:

THE PLATFORM IS NOT A MEDICAL DEVICE AND DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. ALL CONTENT — INCLUDING AI COACHING, HEALTH SCORES, TRAINING PROGRAMS, AND NUTRITION INFORMATION — IS FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY. CONSULT A QUALIFIED HEALTHCARE PROFESSIONAL BEFORE STARTING ANY EXERCISE OR NUTRITION PROGRAM, AND BEFORE MAKING HEALTH-RELATED DECISIONS.

  • Physical exercise carries inherent risks, including injury and, in rare cases, death; you participate at your own risk
  • Health Score and similar metrics are estimates computed from limited data, not medical assessments
  • Stop exercising and seek medical attention if you experience pain, dizziness, or discomfort
  • Never disregard professional medical advice because of something you read on the Platform

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH PHYSICAL ACTIVITY UNDERTAKEN IN CONNECTION WITH THE PLATFORM.

6. User Content

You are solely responsible for content you create, post, or share ("User Content"). You represent that you own or have the rights to your User Content and that it complies with these Terms and our Community Guidelines. User Content must not:

  • Violate any law or the rights of others (including privacy and intellectual property rights)
  • Contain harassment, hate speech, threats, or bullying
  • Include nudity, sexually explicit material, or graphic violence
  • Promote illegal activity, including the sale or non-prescribed use of anabolic steroids or other controlled substances
  • Contain dangerous health misinformation, spam, scams, malware, or deceptive practices
  • Impersonate any person or entity

License. You retain ownership of your User Content. You grant ROID a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify (for technical purposes such as formatting and watermarked share renditions), display, perform, and distribute your User Content in connection with operating, providing, and promoting the Platform — including on public roid.app share pages when you share content. This license ends when you delete the content or your account, except for content others have re-shared or that we must retain by law.

7. Public Sharing and Visibility

Content you share — posts, reels, programs, your profile, and AI answers you publish — may be visible on public roid.app pages and indexed by search engines. Manage visibility through your privacy settings and by deleting content you no longer want public.

8. Moderation, Reporting, and Enforcement

  • You can report content or users and block users in the app; blocked users cannot message you
  • We may (but are not obligated to) monitor, review, remove, or restrict content or accounts at our discretion, including content flagged by users or automated systems
  • There is zero tolerance for objectionable content and abusive behavior; repeat or severe violations result in termination
  • We may preserve and disclose content as described in our Privacy Policy when required by law or to protect safety

9. Purchases, Subscriptions, and Credits

Paid features include the ROID MAX subscription (also called ROID AI Unlimited), web subscriptions to ROID AI, creator training program purchases, and AI credit mechanics. All billing terms — renewal, cancellation, refunds, credits, and referral rewards — are described in our Payment & Subscription Terms, which are part of these Terms. In summary: subscriptions auto-renew until cancelled; App Store purchases are billed and refunded by Apple; web purchases are processed by Stripe; and AI credits are promotional, have no cash value, and may be adjusted or revoked for fraud or abuse.

10. Referral Program

  • You can earn AI credits (up to a "free forever" tier) by inviting friends who become qualified referrals
  • We determine referral qualification using anti-fraud signals (for example, verifying that referred accounts are genuine, distinct people, which may include phone or device verification)
  • Self-referrals, fake accounts, incentivized spam, or other manipulation void rewards and may result in account termination
  • We may change or discontinue the referral program prospectively at any time; earned "free forever" status will be honored for accounts obtained legitimately

11. Creator and Coach Programs

Qualified users may create and sell training programs through the Platform ("Creators"). For Creators:

  • Creators are independent contractors, not employees, agents, or partners of ROID
  • Payments from buyers are processed by Stripe; payouts to Creators are made via Stripe Connect and require completing Stripe onboarding (including identity and tax information collected by Stripe)
  • ROID acts as a platform facilitator and charges a platform fee disclosed at onboarding or checkout
  • Creators are responsible for their program content, claims, qualifications, taxes, and compliance with law; programs must not contain medical claims or content violating our Community Guidelines
  • Buyer refunds and payment disputes may reduce or reverse related Creator earnings
  • We may suspend or remove Creator features, programs, or payouts pending investigation of fraud, abuse, or policy violations

12. Intellectual Property and Feedback

The Platform — including software, design, branding, and content we provide — is owned by ROID INC or its licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for personal, non-commercial purposes. You may not copy, modify, distribute, scrape, reverse engineer, or create derivative works from the Platform, use our trademarks without permission, or circumvent security or access controls. If you send us feedback or suggestions, we may use them without restriction or compensation.

13. Copyright Complaints (DMCA)

If you believe content on the Platform infringes your copyright, send a notice to legal@roid.app including: identification of the work, the infringing material's location (URL or in-app location), your contact information, a statement of good-faith belief, a statement of accuracy under penalty of perjury, and your physical or electronic signature. We respond to valid notices, remove infringing material, and terminate repeat infringers' accounts.

14. Third-Party Services

The Platform integrates third-party services — including Apple (App Store, HealthKit, Sign in with Apple), Google (Firebase, Sign-In), Meta (Facebook Login and sharing), OpenAI (AI generation), and Stripe (payments). Your use of those services is subject to their own terms and privacy policies, and we are not responsible for third-party services.

15. App Store Terms

The app is distributed through the Apple App Store. These Terms are between you and ROID INC, not Apple. Apple has no obligation to provide maintenance or support for the app and is not responsible for any product claims, third-party IP claims, or legal compliance relating to the app. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You must also comply with the Apple Media Services Terms and any applicable usage rules.

16. Prohibited Uses

You may not: violate any law; access another user's account; harass or harm others; upload malware; probe, hack, or disrupt the Platform; scrape or bulk-collect data; use automation to access the Service; resell or commercially exploit the Platform without authorization; misrepresent health credentials; manipulate engagement, credits, or referrals; or circumvent age, safety, or payment controls.

17. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY (INCLUDING OF AI-GENERATED CONTENT AND HEALTH METRICS), UNINTERRUPTED OPERATION, OR SECURITY. TO THE FULLEST EXTENT PERMITTED BY LAW, ROID INC DISCLAIMS ALL SUCH WARRANTIES.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROID INC AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR PERSONAL INJURY ARISING FROM YOUR USE OF THE PLATFORM (INCLUDING RELIANCE ON AI OUTPUT OR PARTICIPATION IN PHYSICAL ACTIVITY). OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNTS YOU PAID ROID INC IN THE 12 MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

19. Indemnification

You agree to defend, indemnify, and hold harmless ROID INC and its affiliates from claims, damages, and expenses (including reasonable attorneys' fees) arising from your User Content, your use of the Platform, your violation of these Terms or of any third-party rights, or — if you are a Creator — the programs and services you sell. This obligation survives termination.

20. Dispute Resolution and Arbitration

Except for small-claims matters and injunctive relief for IP violations, any dispute arising out of these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, held in California (or conducted remotely). The Federal Arbitration Act governs. YOU AND ROID EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS. You may opt out of arbitration by emailing legal@roid.app within 30 days of first accepting these Terms.

21. Termination

You may stop using the Platform or delete your account at any time. We may suspend or terminate your access immediately for violations of these Terms, illegal activity, risk to other users, or extended inactivity, or discontinue the Platform with reasonable notice. Sections that by their nature survive termination (including licenses to shared content, disclaimers, limitations of liability, indemnification, and dispute resolution) survive.

22. Changes to These Terms

We may update these Terms by posting a revised version with a new "Last Updated" date and, for material changes, providing notice in the app or by email. Continued use after the effective date constitutes acceptance.

23. Governing Law; Miscellaneous

These Terms are governed by California law, without regard to conflict-of-laws rules; exclusive venue for non-arbitrable matters is the state and federal courts in California. If any provision is held invalid, the remainder stays in effect; our failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, the Payment & Subscription Terms, and the Community Guidelines are the entire agreement between you and ROID INC regarding the Platform.

BY USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE, INCLUDING THE ARBITRATION PROVISION AND CLASS ACTION WAIVER.
